INDZIN TERMS OF SERVICE

Development. All Web design projects created by Indzin are done using industry standard toolsets, such as Adobe Photoshop, Dreamweaver, and Flash. We also write code in Notepad. We do not support the use of Microsoft FrontPage or other non-professional tools due the poor coding the software tends to produce.

Browser Compatibility. Designing a Web design project to fully work in multiple browsers (and browser versions) can require considerable effort and can involve creating multiple versions of code. Indzin represents and warrants that the code we deliver to you will work in the latest versions of Netscape, Microsoft Internet Explorer and Firefox. While Indzin will make reasonable efforts to produce fully-functional code, our warranty does not cover AOL, text-based browsers or requested special effects that we have advised Client against.

Copyrights and Trademarks. The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Indzin for inclusion in any Web design project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend Indzin from any liability (including attorney's fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client.

Web Site Maintenance. Our agreement specifies a specific period of time for support. It does not include major page reconstruction, new pages, navigation changes or attempted updates by Client. The specified period begins on the date the Client's Web design project is delivered. If the Client's Web design projects includes database access using Active Server Pages (ASP), then very minor page code changes will be accepted under this maintenance plan, major page code and/or database structural changes will be charged at hourly rates.

Completion Date. Indzin and the Client must work together to complete the Web design project in a timely manner. We agree to work expeditiously to complete the Web design project within the time frame established within our agreement. If the Client does not supply Indzin with complete text and graphics content for Web design projects within 14 days after deposit is made, the entire deposit amount shall be retained by Indzin as liquidated damages and the contract shall become null and void, at Indzin’s option.

Project Delivery. The final Web design projects will be published to the Internet upon receipt of final payment or delivered via CD upon the receipt of full payment. Hosting services are available through Indzin and are typically included in the project price unless otherwise specified in the agreement. If the Client selects a third party hosting solution, the Client agrees to select a hosting service which will allow Indzin full access to the Client's account via FTP if necessary. This is especially important if Indzin is providing maintenance to the Web design project(s).

Web Design Project Copyright. Copyright to the finished Web design projects produced by Indzin will be owned by Indzin. The Client will be assigned rights to use the Web design projects once final payment under this agreement and any additional charges incurred have been paid. Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the Client, and remain the property of their respective owners. All Web design projects will contain a copyright/legal statement with a link to Indzin.

Payments. Payments must be made promptly based on the terms of Web design project requested. Indzin reserves the right to remove any Web design project from viewing on the Internet until final payment is made. Search engine marketing, if included, will begin only after the full final payment is made. All payments will be made in U.S. Dollars. We accept checks, money orders, cashiers check and credit cards by PayPal with prior approval.

Payment Schedule. Payment for services provided vary according to client preferences and agreement specifications. Clients should refer to their agreement for specific terms.

Legal Notice. The entire risk as to the quality and performance of the Web design project is with the Client. In no event will Indzin be liable to the Client or any third party for any damages, including, but not limited to, service interruptions caused by Acts of God, the Hosting Service or any other circumstances beyond our reasonable control, any lost profits, lost savings or other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate the project, failure of any service provider, of any telecommunications carrier, of the internet backbone, of any internet servers, your or your site visitor's computer or internet software, even if Indzin has been advised of the possibility of such damages.
